§ 1 Scope

These General Terms and Conditions (GTC) apply to all contracts concluded between SGS CKE s.r.o. (hereinafter "Seller") and the Buyer via the online shop culinex.eu as well as via marketplaces (e.g. Kaufland.de, Kaufland.cz).

Deviating terms and conditions of the Buyer shall not be recognized unless the Seller expressly agrees to their validity in writing.

A consumer within the meaning of these GTC is any natural person who enters into a legal transaction for purposes that are predominantly neither commercial nor self-employed. An entrepreneur is any natural or legal person or a partnership with legal capacity who, when concluding a legal transaction, acts in the exercise of their commercial or self-employed professional activity.

§ 2 Contracting Party

§ 3 Conclusion of Contract

3.1 The presentation of products in the online shop does not constitute a legally binding offer, but an invitation to place an order.

3.2 By clicking the order button, the Buyer submits a binding offer to purchase the goods contained in the shopping cart.

3.3 The Seller confirms receipt of the order immediately by e-mail. This confirmation of receipt does not yet constitute acceptance of the offer.

3.4 A purchase contract is only concluded when the Seller accepts the order by a separate order confirmation by e-mail or ships the goods.

§ 4 Prices and Payment Terms

4.1 All prices are in Euros (€) including the statutory value added tax, unless otherwise stated.

4.2 Shipping costs are not included in the purchase price and will be communicated to the Buyer separately before completion of the order process.

4.3 The following payment methods are available:
- Prepayment (bank transfer)
- Credit card (Visa, Mastercard)
- PayPal
- Instant bank transfer

4.4 In case of prepayment, the invoice amount must be transferred within 7 days after conclusion of the contract.

4.5 The Buyer is in default if they fail to pay after the due date and a reminder. During the default period, the purchase price shall bear interest at the statutory default interest rate.

§ 5 Delivery and Shipping

5.1 Delivery is made to the delivery address specified by the Buyer.

5.2 The stated delivery times are non-binding estimates. Binding delivery deadlines require an express written agreement.

5.3 Standard delivery time: 3-10 business days within the EU. For special orders or large appliances, delivery time may be 2-4 weeks.

5.4 Partial deliveries are permitted, provided this is reasonable for the Buyer.

5.5 If the Seller is unable to deliver the goods because the supplier fails to meet its contractual obligations, the Seller is entitled to withdraw from the contract. The Buyer will be informed immediately and any payments already made will be refunded.

5.6 The risk of shipping is borne by the Seller for consumers. For entrepreneurs, the risk of accidental loss and accidental deterioration of the goods passes upon handover to the carrier, freight forwarder, or other person designated to carry out the shipment.

§ 6 Retention of Title

The delivered goods remain the property of the Seller until full payment. Pledging or assignment as security is not permitted before transfer of ownership.

§ 7 Right of Withdrawal for Consumers

7.1 Consumers have a right of withdrawal in accordance with the following provisions:

RIGHT OF WITHDRAWAL

You have the right to withdraw from this contract within 14 days without giving any reason. The withdrawal period is 14 days from the day on which you or a third party designated by you, who is not the carrier, took possession of the goods.

To exercise your right of withdrawal, you must inform us:

by means of a clear declaration (e.g. a letter sent by post or an e-mail) of your decision to withdraw from this contract.

Consequences of Withdrawal:
If you withdraw from this contract, we shall reimburse all payments received from you, including delivery costs (with the exception of additional costs resulting from your choice of a type of delivery other than the least expensive standard delivery offered by us), without undue delay and no later than 14 days from the day on which we received the notification of your withdrawal from this contract.

7.2 The right of withdrawal does not apply to:
- Goods made to customer specifications
- Goods that are not suitable for return due to their nature
- Goods that can spoil quickly

§ 8 Warranty and Guarantee

8.1 The statutory warranty rights apply.

8.2 For used goods, the limitation period for warranty claims is 1 year from delivery of the goods, provided the Buyer is a consumer.

8.3 Defects must be reported to the Seller in writing immediately upon discovery.

8.4 Manufacturer guarantees are not affected by the statutory warranty rights. Information on any manufacturer guarantees can be found in the product descriptions.

§ 9 Liability

9.1 The Seller is liable without limitation for damages arising from injury to life, body, or health, as well as for damages based on intentional or grossly negligent breach of duty.

9.2 In the case of slightly negligent breach of essential contractual obligations, liability is limited to the foreseeable, contract-typical damage.

9.3 Otherwise, liability for slight negligence is excluded.

§ 10 Data Protection

The collection and processing of personal data is carried out in accordance with our Privacy Policy, which is available at https://www.culinex.eu/datenschutz. The Privacy Policy is an integral part of these GTC.

§ 11 Dispute Resolution

11.1 The European Commission provides a platform for online dispute resolution (ODR), which can be found at https://ec.europa.eu/consumers/odr.

11.2 The Seller is neither willing nor obliged to participate in dispute resolution proceedings before a consumer arbitration board.

§ 12 Applicable Law and Jurisdiction

12.1 The law of the Czech Republic applies, excluding the UN Convention on Contracts for the International Sale of Goods (CISG).

12.2 For consumers, this choice of law applies only insofar as the protection granted is not withdrawn by mandatory provisions of the law of the state in which the consumer has their habitual residence.

12.3 The place of jurisdiction for merchants and legal entities under public law is Teplice, Czech Republic.

§ 13 Final Provisions

13.1 Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions shall remain unaffected.

13.2 Amendments and supplements to these GTC require written form.
